Terms of Service - P2PLend (MindPool, Inc.)

1. Introduction

Welcome to P2PLend, a decentralized peer-to-peer lending platform interface provided by MindPool, Inc. ("MindPool," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the P2PLend website, interface, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

2. The Platform

P2PLend is a software interface that allows users to interact directly with smart contracts deployed on the [Specify Blockchain, e.g., Polygon PoS, Amoy testnet] blockchain (the "Protocol"). The Protocol facilitates peer-to-peer lending and borrowing of digital assets (e.g., DAI).

IMPORTANT: MindPool, Inc. provides only the interface software. We do not custody funds, act as a lender or borrower, broker transactions, provide financial advice, or control the underlying Protocol smart contracts once deployed. All transactions are executed peer-to-peer directly on the blockchain via the smart contracts.

3. Eligibility

You must be of legal age in your jurisdiction and capable of forming a binding contract to use the Platform. You are responsible for ensuring your use of the Platform complies with all applicable laws and regulations.

4. User Responsibilities

  • Wallet Security: You are solely responsible for the security of your blockchain wallet, private keys, and any associated credentials used to interact with the Platform and Protocol. MindPool, Inc. never has access to your private keys. Loss of access to your wallet may result in permanent loss of your assets.
  • Understanding Risks: You acknowledge and accept the inherent risks associated with blockchain technology, smart contracts, and cryptocurrencies, including but not limited to:
    • Smart contract vulnerabilities (bugs, exploits).
    • Blockchain network issues (congestion, forks, 51% attacks).
    • Cryptocurrency volatility and potential loss of value.
    • Irreversibility of blockchain transactions.
    • Regulatory uncertainty.
  • Transaction Verification: You are responsible for verifying all transaction details before confirming them through your wallet.
  • Taxes: You are responsible for determining and paying any taxes applicable to your transactions conducted via the Protocol.

5. The Protocol & Smart Contracts

The Platform interacts with decentralized, open-source smart contracts (the Protocol). While we may have deployed initial versions, MindPool, Inc. does not control the Protocol after deployment. Interactions with the Protocol are permissionless and executed directly on the blockchain. We make no representations or warranties regarding the security, functionality, or integrity of the Protocol smart contracts. Use them at your own risk.

6. Fees

Any interface fees charged by MindPool, Inc., if any, distinguish clearly from blockchain network fees (gas fees).] Blockchain network fees (gas fees) are required to execute transactions and are paid directly to the network validators/miners, not MindPool, Inc.

7. Intellectual Property

The Platform interface, website content, branding, and logos are the property of MindPool, Inc. or its licensors. The underlying Protocol smart contracts may be open-source under specific licenses [Specify License, e.g., MIT License, if applicable].

8. Prohibited Activities

You agree not to engage in any activity that:

  • Violates any applicable laws or regulations.
  • Infringes on the rights of others.
  • Is fraudulent, deceptive, or malicious.
  • Attempts to interfere with the Platform or Protocol (hacking, distributing malware, etc.).
  • Uses the Platform for illicit purposes (e.g., money laundering).

9. Disclaimers

THE PLATFORM AND PROTOCOL ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MINDPOOL, INC. DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MINDPOOL, INC. DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION ON THE PLATFORM OR THE SECURITY OR FUNCTIONALITY OF THE PROTOCOL. YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF THE PLATFORM AND PROTOCOL.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINDPOOL, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM OR PROTOCOL;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM OR INTERACTING WITH THE PROTOCOL;
  • ANY CONTENT OBTAINED FROM THE PLATFORM;
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
  • BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR PLATFORM BY ANY THIRD PARTY;
  • ERRORS, MISTAKES, OR INACCURACIES OF CONTENT;
  • SMART CONTRACT FAILURES, EXPLOITS, OR BUGS;
  • BLOCKCHAIN NETWORK FAILURES OR ISSUES;
  • LOSS OF PRIVATE KEYS OR WALLET ACCESS.

11. Indemnification

You agree to defend, indemnify, and hold harmless MindPool, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform or Protocol, or your violation of these Terms.

12. Modification of Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective Date" above and potentially through other means. Your continued use of the Platform after such modifications constitutes your acceptance of the new Terms.
